Agreement to Terms

These Terms & Conditions (“Terms”) govern your access to and use of skillferry.com (the “Site”), which is operated by Compire LLC (“Skill Ferry,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Who We Are & What We Do

Skill Ferry provides information about services that help companies find and engage remote technical talent. The Site is a marketing and informational website and does not provide user accounts.

Business / Professional Use

The Site is intended for business and professional use. You represent that you are at least the age of majority in your place of residence and have authority to agree to these Terms on behalf of yourself or the entity you represent.

Acceptable Use

You agree not to: (a) use the Site for any unlawful, fraudulent, or abusive purpose; (b) interfere with or disrupt the operation or security of the Site; (c) attempt to gain unauthorized access to the Site or related systems; (d) copy, scrape, or harvest content or data without permission; or (e) upload or transmit malware, viruses, or harmful code.

No Guarantees (Recruiting Disclaimer)

We do not guarantee employment, interviews, particular candidates, placements, outcomes, or timelines. Any hiring decisions are made solely by the businesses and individuals involved.

No Client Relationship or Advice

Content on the Site is for general informational purposes only and does not constitute legal, employment, tax, or other professional advice. Contacting us through the Site does not create a client relationship unless expressly agreed in writing.

Intellectual Property

The Site and all materials on it (including text, graphics, logos, and designs) are owned by us or our licensors and are protected by intellectual property laws. Except for normal personal, non-commercial viewing, you may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent.

Image Credits & Licenses

Many images on the Site are sourced from Unsplash and used under the Unsplash License. Copyright in those photos remains with the contributing photographers. You may not copy, redistribute, or sell the images from our Site as standalone files, nor use them to build a similar or competing image library.

Attribution is not required by the Unsplash License, but where practicable we may credit photographers (e.g., “Photo by [Name] on Unsplash”).

Depicted brands, logos, properties, and identifiable people may have separate rights (e.g., trademarks, privacy/publicity). Our use of an image does not imply endorsement.

User Submissions

If you submit information to us (for example, via a contact form or live chat), you represent that you have the right to do so, and that your submission is accurate and lawful. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Indemnification

You agree to defend, indemnify, and hold harmless Compire LLC and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site or your violation of these Terms.

Governing Law & Venue

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles. Except as otherwise provided in the Arbitration Agreement & Class Action Waiver below, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona, for any dispute not subject to arbitration.

Arbitration Agreement & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. It requires binding arbitration on an individual basis to resolve disputes and limits the manner in which you can seek relief.

Agreement to Arbitrate. You and Compire LLC (“Skill Ferry”) agree that any dispute, claim, or controversy arising out of or relating to your use of the Site or these Terms (collectively, “Disputes”) will be resolved by binding arbitration, rather than in court, except as set out below. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules if you are a consumer, or its Commercial Arbitration Rules if you are a business, before a single arbitrator. Unless we agree otherwise, the arbitration may be conducted by video/teleconference, or in person in Phoenix, Arizona.

Class and Representative Action Waiver. YOU AND SKILL FERRY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Small Claims Exception. Either party may bring an individual claim in a small claims court of competent jurisdiction instead of arbitration.

Injunctive Relief. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its rights pending arbitration (for example, to stop misuse of intellectual property or confidential information).

Opt-Out. You may opt out of this arbitration agreement by emailing hello@skillferry.com within 30 days of your first use of the Site with the subject line “Arbitration Opt-Out,” and your name and contact information. If you opt out, neither you nor Skill Ferry can require the other to participate in arbitration.

Severability. If the class action waiver is found unenforceable for a particular claim, then that claim must proceed in court; the remaining provisions of this section will still apply.

International Users

Access to the Site may not be legal by certain persons or in certain countries. You access the Site on your own initiative and are responsible for compliance with local laws where applicable.

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Site will cease immediately.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice.

Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the Site and supersede any prior or contemporaneous agreements on the subject matter.

DMCA / Copyright Policy

We respect intellectual property rights and will respond to valid notices of alleged copyright infringement in accordance with the U.S. Digital Millennium Copyright Act (DMCA).

How to Submit a DMCA Notice: If you believe material on this Site infringes your copyright, send a notice to our DMCA Agent that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work you claim is infringed; (3) identification of the material you claim is infringing and where it is located on the Site (URL); (4) your contact information (name, address, telephone, and email); (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information in the notice is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on the owner’s behalf.

Removal and Notification: Upon receipt of a valid notice, we may remove or disable access to the material and notify the user who posted it.

Counter-Notice: If your material was removed and you believe it was removed in error or misidentification, you may send a counter-notice to our DMCA Agent that includes: (1) your physical or electronic signature; (2) identification of the material removed and the location where it appeared before removal; (3) a statement under penalty of perjury that you have a good-faith belief the material was removed due to mistake or misidentification; and (4) your name, address, telephone, and email, and a statement that you consent to the jurisdiction of the federal courts in Maricopa County, Arizona, and that you will accept service of process from the person who sent the original notice.

Repeat Infringers: It is our policy to terminate, in appropriate circumstances, users who are repeat infringers.
